Acquisitions

Campbell Dallas have experience in acting as lead advisors and offering transactional support to a variety of clients from MBO teams to individuals and from investors to funders. We will assist in the negotiation of price, advise on the most appropriate deal structure dependant upon the client’s needs, advise on tax implications as well as assist in fundraising, due diligence and project management.

Fundraising

Campbell Dallas work with business management and owners to ascertain the extent of any funding gap arising through the preparation of detailed financial models and business plans for presentation to funders. These funders will be selected by considering the most appropriate sources of finance to meet the business and owner’s strategy. This will include bank funding, equity investment (from venture capital to private investors) and funding from government bodies.

Disposals

Campbell Dallas’ services are aimed at maximising shareholder value. A pre-sale grooming exercise can be carried out with the purpose of maximising the potential disposal proceeds. We will assist in identifying potential purchasers, manage the disposal process and ensure our taxation services are integrated to minimise any tax charges.

Valuations/Litigation Support

Campbell Dallas has experience in carrying out business valuations for a variety of clients and for a variety of reasons from shareholder disputes to business acquisitions and disposals. We use a real time database to ensure up-to-date earning multiples and actual market and transactional data is used, as opposed to purely theory-based assumptions. We understand that no two businesses are the same and therefore take account of a number of factors, such as industry and structure into consideration, while ensuring the most appropriate method of calculation is used.

Debt Advisory

Campbell Dallas advises both funders and business owners on current and potential debt levels within a business. This is to ensure that the most appropriate type of debt is matched to the working capital cycle and needs of the business. We can conduct either high level reviews or a more detailed approach to our analysis of the business.

Financial Modelling and Business Development

Campbell Dallas will facilitate a strategy process to determine the best route for a business to grow and develop. The resultant financial forecast and business plan may lead to the need for further fundraising, an acquisition or disposal, specialist tax advice or revised management structure. The aim is to ensure the business is meeting the owner’s objectives.
